By accessing this portal you accept each and every provision of these Terms and Conditions and you agree to use this portal in accordance with the law, ethical standards and public order. If you do not wish to be bound by these Terms and Conditions, please discontinue using and accessing this portal.

1. Identity of the owner of the portal

mzCloud portal (‘MZCLOUD’) is owned and controlled by HighChem s.r.o., Mlynské Nivy 5, 82109 Bratislava, Slovakia (‘HIGHCHEM’). It is a private limited liability company registered in the Business Register of the District Court Bratislava I, Section Sro, Insert No. 16467/B. The email contact is ms@highchem.com. MZCLOUD operates under the following domain names: mzCloud.org, mzCloud.com, mzCloud.net, which are the registered property of HIGHCHEM.

2. No warranty and no liability

MZCLOUD IS STILL UNDERGOING DEVELOPMENT AND ENGINEERING WORK AND THE RIGHT TO USE MZCLOUD IS GRANTED TO YOU FOR TESTING, EVALUATION AND ASSESSMENT PURPOSES ONLY.

By using MZCLOUD, all users agree that the use of MZCLOUD, its services, associated databases and all content thereof is at their own risk. HIGHCHEM, its partners and contributors make no warranty as to its use or performance or content. All data, content, information and services of MZCLOUD are provided "as is" without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. HIGHCHEM, its partners or contributors shall not be liable for any consequential, incidental, special, punitive, exemplary, direct or indirect loss or damage of any nature arising out of your access to, use of, or inability to use MZCLOUD or any portal or site linked with MZCLOUD, or any errors or omissions in the content thereof even if HIGHCHEM, its partner or contributor representative has been advised of the possibility of such damages, or for any claim by any third party. HIGHCHEM, its partners and contributors do not and cannot warrant the performance or results you may obtain by using MZCLOUD. Links to third party portals or sites are provided solely as a convenience to you and the inclusion of any link does not imply the endorsement or approval of HIGHCHEM of the linked portal or site and HIGHCHEM does not express any opinion on the quality, content and accessibility of any third party portals or sites, and explicitly disclaims any liability for all third party content and the use of it. In the event you have accessed MZCLOUD through a third party platform, your log-in data will not be stored by HIGHCHEM in any form.

3. Copyright, data and software ownership

The MZCLOUD portal, its logo, name, design, algorithms, and associated intellectual properties are owned by HIGHCHEM. MZCLOUD contains raw mass spectra and raw spectral trees (‘RAW DATA’) which are owned by their respective contributor, listed in the Metadata section. MZCLOUD contains processed, filtered and recalibrated mass spectra and spectral trees, structures, molecular formulas, metadata, fragmentation data, quantum chemical data, and break-down curves (‘DATA’) which are owned by HIGHCHEM. MZCLOUD contains source codes of associated software, databases and the mzCloud App (‘SOFTWARE’). The SOFTWARE and its source code are valuable trade secrets of HIGHCHEM and contain unpublished confidential proprietary and trade secret material belonging to HIGHCHEM. RAW DATA, DATA, SOFTWARE and its source codes are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Any RAW DATA reproduction, publication, download, duplication, extraction or transmission in any form or by any means, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of their respective owner is strictly prohibited. Any DATA and/or SOFTWARE and/ or its source code reproduction, publication, download, duplication, extraction or transmission in any form or by any means, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of HIGHCHEM is strictly prohibited. You may not reverse engineer, decompile, disassemble, deobfuscate and/or otherwise attempt to discover the SOFTWARE and/or its source code and/or its components. You may not alter or modify in any way the installer program or create a new installer for the SOFTWARE and/or its source code without the written permission of HIGHCHEM. You may not remove or obscure the copyright, trademarks, Terms and Conditions, and/or any other proprietary notices. Requests for permission to publish or reproduce any content, information, service, RAW DATA, DATA or SOFTWARE should be addressed to ms@highchem.com.

4. Trademarks

The MZCLOUD logo, name and graphics using the MZCLOUD name are trademarks of HIGHCHEM. The third party product and portal names listed in the Metadata section are the trademarks or registered trademarks of their respective owners.

5. Abusive or excessive use

HIGHCHEM uses its best efforts and substantial resources to provide fast and reliable access. Unlimited access is based on normal, non-abusive and non-excessive use. If abusive or excessive use is identified, including but not limited to the relative use when compared to the average MZCLOUD user, HIGHCHEM reserves the right to deny you access to and use of MZCLOUD, its services or content.

6. Registered users

Certain functionality and areas of MZCLOUD are accessible for registered users only. If you are not a registered user you should not attempt to access areas explicitly reserved for registered users.

7. Changes

MZCLOUD, its services and content are subject to change without prior notice. When referring to a particular version of MZCLOUD, please use the full version number displayed at the bottom left of the Database page, e.g 1.0.3.4945.

8. Access termination and account deactivation

In the event that you breach any of these Terms and Conditions, HIGHCHEM reserves the right to terminate access to MZCLOUD and/or deactivate a registered user account, with or without prior notice.

9. Usage Data

HIGHCHEM store e-mail address and IDP of a User. The e-mail address and IDP of a User are required for authentication. HIGHCHEM may from time to time use anonymized and process data about usage of MZCLOUD for the purpose of creating statistics and analytics data. HIGHCHEM may use anonymized data such statistics and analytics data for its own internal use, including to maintain and improve MZCLOUD product and services. In addition, you acknowledge that certain features used in connection MZCLOUD may be configured to collect and report telemetry data to HIGHCHEM.

10. Data Deletion

For deletion of stored email address and IDP please send an email to support@highchem.com. HIGHCHEM support team will permanently delete these two data and reach you out when processes will be finished. Approximately 30 days.
